Global1 Affiliate Terms and Conditions:

Please refer below to the terms and conditions regarding the Global1 Affiliate Program. The Global1 Affiliate Program is managed by Global1Training Pty Ltd. Engagement:

1. Thank you for accepting our offer to join the Global1 Affiliate Program. By joining the Affiliate Program, you agree that these Terms and Conditions form a contract between you and us. These Terms and Conditions are in place to protect clients/advertisers within our network.
2. Should there be any violation of these Terms and Conditions we reserve the right to suspend or cancel any account with no payment being made to such account. This is not negotiable. Should a payment be made and we find that this payment was made to an Affiliate through an illegal or fraudulent action by the Affiliate. We reserve the right to stop payment on the cheque and we may also take civil or criminal action against the company or individual.

Qualifications:

3. All graduates of Global1Training Events, such as The Breakthrough Experience automatically qualify to become an Affiliate.
4. If you haven’t had the chance to attend a Global1Training event and still wish to become an Affiliate, then email an application to info@global1training.com. Global1Training is committed to reaching a wide user-base and hence, acceptance into the Program is generally granted. However, gross misconduct as an Affiliate or certain content on a website that Global1Training may deem as objectionable would be grounds for rejection.

Tracking of Referrals:

5. The Global1 Affiliate Program tracks all referral through a Unique Affiliate Link. This Unique Link contains certain parameters that uniquely identify your Affiliate code. When a referral clicks on one of these Links, Global1Training is able to determine which Affiliate code referred this user.
6. For commission fees to be properly tracked, recorded and earned, you must ensure that each of the Links that you send out are the ones provided to you by Global1Training. Since the Links we provide you are the only way to track purchases from your Affiliate Link, you must use the Links exactly as given and make no modifications in order to ensure accurate registration and payment. We will not be liable to you for any lost commissions resulting from your failure to use appropriate Links. There are no exceptions to this.
7. Any referrals that an Affiliate registers under their code are permanently linked to the Affiliate for the lifetime of the client.
8. If your referral is already on our system they are not eligible to be nominated to your affiliate code.  In some cases the same individual will have multiple entries in the system because of differing name spelling and/or email addresses - in these cases the initial entry will be considered the correct entry and the remaining entries will be considered to be part of the initial entry.

Programs and Payment:

9. A full list of Global1Training events and the associated commission amounts are kept up to date on the Affiliate Home Page. The Affiliate home page can be accessed anytime.
10. In most cases a 10 % commission will be paid on the net amount paid by your referral. Commission will be paid once the Money Back Guarantee period has ended and approximately 30 days after your referral has attended the live event.
11. All purchasing transactions are processed through the Global1Training web site.
12. If your referral cancels their training or has their fees refunded then no cash reward will be paid.

Joining Fee and annual subscription

13. There is no joining fee. There is an annual subscription fee of $97 that will be charged at the beginning of your second and subsequent years of being an Affiliate to cover basic administration costs.

Support:

14. All up to date the marketing and sales systems are provided on the Affiliate Home Page.
15. It is recommended that Affiliates will be provided with marketing and sales material that allows Affiliates to invite their network to ‘free introductory events’. Any purchases then made by the Affiliates network will automatically be tracked when the purchase is made.

Fraud Control:

17. Global1Training reserves the right to withhold payment to any Affiliates that exhibits questionable Affiliate activity. We have built into our software a fraud control system, which monitors all agents' sites constantly, including false registration. Any company or Individual that tries to artificially inflate traffic counts, revenue, or use any devise or robot/program to inflate sales will be reported to the appropriate authorities for fraud and all payments will be refunded by the Affiliate.

Trademarks, Logos and Search Engines:

18. We don't allow Affiliates to bid on our trademark or any misspellings thereof. We also don't allow you to bid on our competitors' trademarks and re-direct their traffic. If you are found bidding on our trademark, you will be asked to promptly remove the bid. Failure to do so will result in immediate termination from the Program and the withholding of applicable commissions.
19. You may not use our logo, trade names and trademarks ("Global1Training") provided to you by Global1Training solely in connection with your display of such Links. You will remove the Global1Training Marks from your web site and Programs upon termination of this Agreement.
20. You will not create, register, purchase, or obtain, (or attempt to do any of the foregoing) directly or indirectly, any trademark, service mark, trade name, company name, internet domain name, search engine listing, directory listing, metatag, name that redirects traffic to your site, or other proprietary or commercial right that is identical or confusingly similar (including variations and misspellings) to the Global1Training Marks ("Similar Marks"). You acknowledge that any such action would be made with the intent to confuse consumers as to the source, location, and sponsorship of the Global1Training services, and will constitute infringement of the Global1Training Marks.

Spamming:

21. Affiliates will not use Global1Training for the soliciting of potential customers for their own business needs without the permission of Global1Training first. Affiliates may not use unsolicited e-mail or inappropriate newsgroup postings to promote a website.

Advertising:

22. Global1Training will provide all marketing material to you on behalf of the client. Under no circumstances should you modify the marketing material provided to you unless otherwise noted or permission given,
23. You must obtain Global1Training prior written consent to create, publish, distribute or use any written, electronically transmitted or other form of publicity that makes reference to Global1Training that is not a part of the pre written emails we send to you. Our consent will not be unreasonably withheld. If you fail to obtain our consent, we may terminate this Agreement upon notice to you.

Right of Refusal:

24. Global1Training reserves the right to deactivate an Affiliates account at any time for activity or site content deemed inappropriate, based on the sole discretion by us. Any of the following conditions may result in deactivation of an Affiliates account.

Multiple accounts:

25. Each Affiliate is only allowed to have one account. Anyone that is found to have multiple accounts will have both accounts terminated and loss of all pay. We have built a sub Affiliate service to allow the tracking of your Affiliates

Independent Contractor:

26. The Affiliate is an independent contractor. Global1Training owners shall not provide any legal, accounting, or professional advice. Each Affiliate is responsible for their own tax obligations. The Affiliate is not an employee, partner, shareholder, or director of the Global1Training Program, and shall not enter into any agreement oh behalf of the Global1Training.

Global1training May Modify this Agreement:

27. Global1Training may modify the terms and conditions of this Agreement, at any time in our sole discretion. You will be notified by email and posting of a change notice on the Global1 Affiliate Program Terms and Conditions within the Affiliate Interface. Modifications may include, but are not limited to, changes in the scope of commission fees, payment procedures and the Global1Training Affiliate Program rules.

Confidentiality:

28. Except with the consent of the other party, each party agrees that all information concerning the other party, including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, will remain confidential and will not be utilized, directly or indirectly, by such party for any purpose except and to the extent (a) necessary to complete obligations under this Agreement or (b) that any such information is known or available to the public through a source or sources other than such party or any Affiliate of such party.

Indemnification:

29. You agree to indemnify, defend and hold harmless Global1Training and its employees, representatives, agents and corporate Affiliates (each, an "Indemnified Party"), against any and all claims, suits, actions, or other proceedings brought against the Indemnified Party based on or arising from any claim (i) that the use of any material provided by you infringes on any copyright, patent, trademark, trade secret or any other intellectual property or other right of any third party, (ii) resulting from your breach of this Agreement, or (iii) related to your web site or Programs, including, without limitation, content therein not attributable to us. You will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys' fees and costs awarded against or otherwise incurred by the Indemnified Party in connection with or arising from any such claim, suit, action, or proceeding.

General:

30. The above terms and conditions of business constitutes the entire understanding of both parties hereto with respect to its subject matter and supersedes any and all previous contracts and covenants between both parties whether written or oral, with respect to such subject matter.
31. This agreement is governed by the laws in force in the State of New South Wales and the parties submit to the exclusive jurisdiction of the Courts of New South Wales.
